Terms of Service

1. Acceptance of Terms
By accessing or using Otama ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Yany Consultation CPA ("Company", "we", "us", or "our").
2. Description of Service
Otama is a cloud-based practice management platform designed for Canadian accounting professionals. The Service includes client management, document collection, tax intake forms, deadline tracking, AI-assisted tools, and a client-facing portal for secure document exchange.
3. Eligibility
You must be at least 18 years old and a licensed or authorized accounting professional (CPA, PA, or equivalent) to register for and use the Service. By registering, you represent and warrant that you meet these requirements.
4. Account Registration
You agree to provide accurate, current, and complete information during registration and to update that information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@otama.ca if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- Use the Service to store, transmit, or process data in violation of applicable law, including Canadian privacy legislation (PIPEDA, Law 25)
- Share your account with unauthorized users
- Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service
- Use the Service to transmit unsolicited communications (spam)
- Upload malicious code, viruses, or harmful content
- Use automated means to access or scrape the Service without our prior written consent
6. Client Data and Confidentiality
You are responsible for all client data you upload, input, or transmit through the Service. You warrant that you have the lawful authority to process such data and that doing so complies with your professional obligations under the CPA Code of Professional Conduct and applicable privacy legislation. We act as a data processor on your behalf with respect to your client data.
7. Intellectual Property
The Service, including all software, algorithms, designs, text, and AI models, is owned by Yany Consultation CPA and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service. You retain full ownership of all data you upload to the platform.
8. AI-Generated Content
The Service includes AI-powered features that may generate assessments, draft emails, and recommendations. Such outputs are provided for informational purposes only and do not constitute professional accounting, legal, or tax advice. You are solely responsible for reviewing and verifying any AI-generated content before use.
9. Subscription and Payment
Access to the Service requires a paid subscription. Fees are billed in advance on a monthly or annual basis. All fees are in Canadian dollars and are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your account.
10. Suspension and Termination
We reserve the right to suspend or terminate your account at any time if you breach these Terms or if we are required to do so by law. You may cancel your account at any time through the settings page. Upon termination, you will have 30 days to export your data before it is permanently deleted.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FULLY SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YANY CONSULTATION CPA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Governing Law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Québec.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
